Disclaimer & Limitation of Liability
1. Parties and Role Clarification
This disclaimer governs the relationship between StayReady (“the Service Provider”) and the Property Owner/Host (“the Client”). The Service Provider operates as an independent contractor and not as an employee, agent, partner, or representative of the Client.
The Service Provider’s role is limited to guest check‑ins, guest check‑outs, and property inspections as expressly agreed in writing.
2. Scope of Services
The Service Provider provides the following operational support services on behalf of the Client:
- Check‑In Services
- Check‑Out Services
- Property Inspection Services
The Service Provider does not manage bookings, pricing, guest vetting, guest communication, dispute resolution, maintenance, or cleaning unless separately contracted.
3. No Agency Relationship
The Service Provider does not act as an agent of the Client and has no authority to:
- Enter into agreements on behalf of the Client
- Make promises or representations to guests
- Handle payments, deposits, or refunds
- Bind the Client to any legal or financial obligations
4. Liability Limitation
To the fullest extent permitted under South African law, the Service Provider shall not be held liable for:
- Guest behaviour or misconduct
- Theft, loss, or damage caused by guests
- Structural, mechanical, or maintenance issues at the property
- Hidden defects or future issues not visible during inspections
- Loss of income, bookings, or reviews
The Service Provider’s liability is strictly limited to direct damages arising from proven negligence during the performance of contracted duties.
5. Client Responsibilities
The Client acknowledges and agrees that they remain solely responsible for:
- Verifying guest identity and booking legitimacy
- Ensuring the property is safe, compliant, and insured
- Maintaining adequate short‑term letting insurance
- Providing accurate instructions and access details
- Handling guest disputes, refunds, and complaints
6. Key & Access Code Disclaimer
The Service Provider will take reasonable care when handling keys, remotes, and access codes. However, the Service Provider is not liable for:
- Loss or theft of keys after they have been handed to the guest or Client
- Costs associated with lock replacement or reprogramming
- Security breaches caused by outdated or compromised access codes
7. Property Inspection Disclaimer
Property inspections performed by the Service Provider are:
- Visual,
- Non‑technical,
- Non‑invasive,
- Conducted without moving furniture or accessing restricted areas.
Inspection reports are informational only and do not constitute:
- A structural assessment
- A compliance certificate
- A valuation
- A guarantee of future property condition
8. Indemnity Clause
The Client agrees to indemnify and hold the Service Provider harmless against any claims, damages, losses, or legal actions arising from:
- Guest actions or omissions
- Property defects or hazards
- Non‑compliance with municipal by‑laws or STR regulations
- Failure to maintain insurance
- Misrepresentation of property conditions
9. Confidentiality & Data Protection
The Service Provider will handle guest and property information in accordance with the Protection of Personal Information Act (POPIA).
Information will not be retained longer than necessary and will not be shared with third parties except as required to perform contracted duties.
10. Force Majeure
The Service Provider is not liable for delays or failures caused by events beyond reasonable control, including:
- Load shedding
- Network outages
- Weather events
- Civil unrest
- Transport disruptions
12. Governing Law
This disclaimer and all related agreements are governed by the laws of the Republic of South Africa.
